Booth Assignments: Every attempt will be made to assign booths from the choices submitted by each company. The assignment of booths will be made in the order that contracts and full payment of booth rental fees are received. Dimensions and locations are believed, but not warranted, to be accurate. All booth spaces will be assigned on a first-come, first-served basis in the order in which the contracts and fees are received by Denver LPCON 2008, LLC. We will make every effort to assign the booth(s) from the list of booth choices submitted by the exhibiting company. In the event that this is not possible, Denver LPCON 2008, LLC reserves the right to assign a booth that it considers comparable.

Unless otherwise specified, the person signing the contract will be the person who will receive all future correspondence relating to this program. A money order or check for full payment of fees must accompany the booth rental agreement. Completion of online contract constitutes a legal and binding agreement. 50% of booth payment must be made within 15 days of contract submission, in order for booth space to be secured. Remaining 50% must be made within 30 days of online contract submission. If the contract is completed after April 22, 2008 the Remaining 50% must made before May 10, 2008. No booth will be assigned until Denver LPCON 2008, LLC has received full payment.

Brede Decorating Company is our official decorating company. They can arrange for shipping, storage and additional items you may wish to purchase. As soon as we have received your signed contract and fees we will send confirmation of the booth(s) and a Brede Decorating Kit. Denver LPCON 2008, LLC reserves the right to cancel booth space and assign to another exhibitor, if full payment is not made within the prescribed time.

The Convention pre-registration deadline is Thursday, May 8, 2008. After that date, registrations will be processed onsite at the convention registration desk and there will be a $50 late registration charge. All cancellations must be in writing and received in the Denver LPCON 2008, LLC office by May 10, 2008. Cancellations made prior to May 10, 2008 will incur a $75 fee. No refunds will be issued for cancellations made after May 10, 2008, only substitutions.

Installation - May 22, 2008 from 9am - 4pm
Dismantling - May 26, 2008 from 12pm - 4pm

No displays may be dismantled or packed prior to May 26, 2008 at 12pm Cost of Operation: The Exhibitor understands and agrees that all expenses for shipping and handling of the exhibit into and out of the show area and for all other costs incidental to the operation of the display, are not part of the show fee and are to be paid by the Exhibitor.

Exhibitor fees include: 3' drape on three side and a 3'x6' skirted table. Some Spaces have an 8' back drape. See Exhibit Floor Plan for locations. Exhibitor fees include a listing in the convention program with up to 100-word description of your product or organization. Exhibitor fees include booth signage. Exhibitor fees include a scheduled speaking/demonstration opportunity to be held in the exhibit hall. Exhibitor fees include a security person from 10:00 PM until 6:00 AM. At all other times, the security of exhibitor property is the sole responsibility of the exhibitor.

Assignment and Use of Event Space: Denver LPCON 2008, LLC will assign exhibit space and speaking/demonstration times at its reasonable discretion, based on a first come first served system. Exhibitor acknowledges that Denver LPCON 2008, LLC reserves the right to reassign exhibit space or alter exhibit hall layout at any time. However, if a reconfiguration of the exhibit space should cause the Exhibitor to have a lesser location than previously purchased, Denver LPCON 2008, LLC will reduce the cost of the space to be consistent with other like booth locations.

Content of exhibits: Understanding that the exhibit space is open to persons of all ages, Denver LPCON 2008, LLC reseves the right to restrict the content of exhibits, speeches and demonstrations to that which is suitable for minors and to that which falls within Libertarian guidelines.

Liability: Notwithstanding anything in the Agreement to the contrary, each party will be liable for the negligent, or willful acts or omissions of its employees, officers, agents, directors, invitees, contractors, or others acting on its behalf or with its authority, and shall indemnify the other party for any liability arising therefrom. Exhibitor further agrees to indemnify and hold Denver LPCON 2008, LLC and the owners and lessors of the exposition areas of the Denver Adam's Mark Hotel harmless from claims by the Exhibitor's agents or employees or by any other persons arising out of any act or omission connected with the Exhibitor's participation in the conference and/or exposition, whether negligent or not. Denver LPCON 2008, LLC shall not be responsible for the security of Exhibitor's equipment or its proprietary information, and the Exhibitor shall have full responsibility for any theft or other loss including any subrogation claims by its insurer. It is the responsibility of the Exhibitor to maintain proper insurance coverage for its property and liability. None of the Event Providers shall be liable to Exhibitor for any damage, loss, harm, or injury to the person, property, or business of Exhibitor for any damage, loss harm or injury to the person, property, or business of Exhibitor, or any of its visitors, officers, agents, employees, or other representatives, resulting from theft, fire, earthquake, water, unavailability of the Facility or intermediate staging facilities, insufficient participation, accident, or any other reason in connection with the Event or any planning meetings demonstration, or stagings.

Children in the Pavilion Area: For safety reasons, children under the age of 14 will not be permitted into the Pavilion without being accompanied and supervised by an adult. Children under 14 will not be permitted in the exhibit hall during installation and dismantling.

Facility and Union Rules: Exhibitors shall comply with all rules and regulations of the Facility and any relevant union in connection with its installation, use and dismantling of the Exhibit.

Care of Building and Equipment: THE ADAM'S MARK FORBIDS THE DISTRIBUTION OF STICKERS. Exhibitors or agents must not injure, deface or use any prohibited substance (e.g. double-sided tape) on the walls or floors of the building, the booths or the equipment of the booths. If such damage appears, the Exhibitor is liable to the owner of the property so damaged. All materials used in decoration must be flameproof. Electric wiring must conform with US National Electric Code Safety Rules, and all applicable fire laws, electric codes and other laws which affect the installation, conduct and disassembly of the exhibit. Combustible materials or explosives are not permitted in the exhibit hall. The exhibitor also shall comply with all reasonable requests of officials of the exhibit hall and Denver LPCON 2008, LLC with respect to installation, conduct and disassembly of exhibit.

Third Party Contractors: Denver LPCON 2008, LLC may designate forms as official third party contractors to provide support and facilities services ("Official Contractors"). Where designated, all Exhibitors will be required to use Official Contractors. Notwithstanding such designation, Official Contractors act solely as independent contractors, and neither Denver LPCON 2008, LLC, nor the Facility will be responsible for the performance or any act of omission of Official Contractors. Rules and Regulations: The Exhibitor agrees to and shall abide by all accompanying exhibit terms, conditions and general regulations, as well as any additional rules and regulations Denver 2008 shall publish as it deems necessary or appropriate. All such additional rules and regulations shall be deemed a part of and made enforceable in accordance with these terms and conditions.

Alcohol Policy: No alcoholic beverages, other than Denver LPCON 2008, LLC sanctioned receptions, may be served on the show floor.

Abandonment or Vacating of Facilities: If any part of the space covered by this agreement becomes vacant or is not used by Exhibitor, Denver LPCON 2008, LLC may terminate this agreement by written notice to the Exhibitor, whereupon the Exhibitor's rights and privileges shall terminate.

Payment Terms: Completion of online contract constitutes a legal and binding agreement. 50% of booth payment must be made within 15 days of contract submission, in order for booth space to be secured. Remaining 50% must be made within 30 days of online contract submission. If the contact is completed after April 22, 2008 the Remaining 50% must before May 10, 2008. Denver LPCON 2008, LLC reserves the right to cancel booth space and assign to another exhibitor, if full payment is not made within the prescribed time. Cancellation: In the event any Exhibitor wishes to cancel all or part of the exhibit space contracted for hereunder, the Exhibitor will be liable for a $75.00 fee for cancellations received by Denver LPCON 2008, LLC in writing before May 10, 2008. After that date, no refunds will be given. If a contract is signed after April 30, 2008, no refunds will be given for cancellations.
